Marketplace Participation Agreement
Section 1 — Membership & Fees
Customer agrees to pay an annual membership fee of $500 USD. This fee grants unlimited access to submit RFQs and receive competitive bids. The membership fee will be refunded if (a) Customer closes a licensing transaction through the SLA Marketplace within 12 months of registration, or (b) Customer receives zero qualifying bids on any submitted RFQ within the 30-day bidding window.
Section 2 — Non-Circumvention
Customer acknowledges that Cloud Partners introduced through the SLA Marketplace are proprietary introductions. Customer agrees not to engage, contract with, or solicit any Cloud Partner first introduced through the platform for licensing services outside of the SLA Marketplace for a period of twenty-four (24) months from the date of introduction.
Section 3 — Confidentiality
Cloud Partner bid details, pricing, and proposal information received through the platform are confidential and may not be shared with third parties or used as leverage in negotiations with Cloud Partners outside the platform.
Section 4 — Data Privacy
Customer's company identity and contact details will remain anonymized until Customer explicitly chooses to reveal them to selected Cloud Partners.
Section 5 — Indemnification
SLA facilitates introductions between Customers and Cloud Partners but is not a party to any resulting licensing agreement. SLA bears no liability for the performance, pricing, or delivery of services by Cloud Partners.
Section 6 — Liquidated Damages
In the event of circumvention (Section 2), Customer agrees that SLA shall be entitled to liquidated damages equal to the greater of (a) $5,000 USD or (b) the estimated commission SLA would have earned on the circumvented transaction.
