These Customer Marketplace Terms of Use and RFQ Participation Agreement (“Agreement”) govern access to and use of the LicenseBids marketplace located at www.licensebids.com (the “Platform”).

The Platform is owned and operated by:

(“LicenseBids”, “Company”, or “Platform”).

By creating an account or submitting a Request for Quote (“RFQ”), the user (“Customer”) agrees to be bound by this Agreement.

If the Customer does not agree to these terms, the Customer must not use the Platform.

1. Purpose of the Platform

LicenseBids operates an online procurement marketplace that enables organizations to obtain competitive bids from authorized technology resellers and cloud partners.

Customers may submit RFQs for the following services:

  • Microsoft 365 subscription licensing
  • Microsoft Azure Cloud services
  • Google Workspace licensing
  • Google Cloud Platform (GCP) services
  • Amazon Web Services (AWS)

Participating partners submit bids in response to Customer RFQs.

LicenseBids facilitates the procurement process but is not the reseller of record unless explicitly stated.

2. Customer Eligibility

Use of the Platform is limited to organizations that intend to purchase cloud services or software licensing.

By creating an account and submitting an RFQ, Customer represents and warrants that:

Customer is a legitimate organization seeking to purchase cloud services or licensing.

Customer is not submitting RFQs for the purpose of price discovery or market testing.

Customer is not acting on behalf of a reseller, cloud partner, consulting firm, or licensing broker.

Customer is not using the Platform to collect pricing intelligence.

3. Customer Self-Attestation

At account registration and RFQ submission, Customer must confirm the following statement:

“I certify that I represent an organization intending to purchase cloud services or licensing and that I am not acting as a reseller, partner, broker, consultant, or other intermediary seeking to obtain pricing information.”

LicenseBids reserves the right to suspend accounts, cancel RFQs, and deny access if Customer eligibility cannot be verified.

4. Prohibited Use — Price Testing

The Platform may not be used to:

  • collect competitive pricing for resale purposes
  • test market pricing
  • assist partner organizations in developing competitive pricing strategies
  • gather pricing intelligence for third parties.

If LicenseBids determines that an RFQ was submitted for price testing purposes, the RFQ may be cancelled and the Customer account may be suspended.

5. RFQ Submission Process

Customers may submit RFQs through the Platform specifying:

  • product or service requirements
  • license quantities
  • cloud consumption estimates
  • contract commitment duration.

RFQs may be conducted under:

Blind RFQ — Partner bidders cannot see Customer identity.

Managed RFQ — LicenseBids may assist in bid facilitation.

LicenseBids does not guarantee that bids will be received for any RFQ.

6. RFQ Participation Fee

To submit an RFQ, Customer must pay a $500 RFQ participation fee. This fee is designed to ensure that RFQs submitted through the Platform represent legitimate purchasing opportunities.

7. Refund of RFQ Fee

The $500 RFQ participation fee shall be fully refundable under either of the following conditions:

RFQ Award — If Customer awards the RFQ to a participating partner.

Zero Bid Scenario — If the RFQ receives no partner bids.

Refunds will be processed within a reasonable time following RFQ completion.

8. RFQ Fee Waiver

LicenseBids may waive the RFQ participation fee at its sole discretion.

Fee waivers may be granted when:

  • Customer registers using a verified corporate email address
  • Customer domain ownership can be validated
  • Customer identity and purchasing intent can be reasonably confirmed.

LicenseBids reserves the right to approve or deny fee waivers.

9. Customer Responsibility for Bid Selection

Customer is solely responsible for evaluating and selecting partner bids.

LicenseBids does not guarantee partner performance, does not warrant pricing accuracy, and does not guarantee service delivery.

Any contract resulting from an RFQ is executed directly between Customer and Partner.

10. Confidentiality of RFQ Information

Customer acknowledges that RFQ information may be shared with participating partners for the purpose of preparing bids.

Partners are required to treat RFQ information as confidential.

Customers should not submit confidential information unrelated to the RFQ.

11. Intellectual Property

All platform technology, software, workflows, and analytics are the intellectual property of License Bids Inc.

Customers receive a limited, non-exclusive right to access the Platform for procurement purposes only.

12. Limitation of Liability

To the maximum extent permitted by law, LicenseBids shall not be liable for partner pricing decisions, vendor price changes, contract disputes between Customer and Partner, or service delivery failures.

Total liability of LicenseBids shall not exceed the amount of fees paid by Customer to LicenseBids.

13. Account Termination

LicenseBids may suspend or terminate Customer accounts for violation of these terms, misuse of the Platform, submission of fraudulent RFQs, or attempts to collect pricing intelligence.

14. Modification of Terms

LicenseBids may update these terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised terms.

15. Governing Law

This Agreement shall be governed by the laws of the State of Wisconsin. Any legal disputes shall be resolved in the courts located in Milwaukee County, Wisconsin.

16. Acceptance of Terms

By creating an account and submitting an RFQ through the Platform, Customer acknowledges that it has read, understood, and agrees to be bound by this Agreement.
