Partner agrees to pay SLA a referral fee equal to two percent (2%) of all cloud licensing and services revenue generated from each customer engagement originating through the SLA Marketplace. This includes, but is not limited to, Microsoft 365, Azure, Dynamics 365, Power Platform, Google Workspace, Google Cloud Platform (GCP), Amazon Web Services (AWS), and any add-on, ancillary, or related cloud services from these providers. The 2% referral fee applies to the first twenty-four (24) months of revenue from each referred customer, subject to a minimum platform fee of $1,000 USD per closed transaction. If the calculated 2% referral fee for a given deal is less than $1,000, Partner shall pay the $1,000 minimum. Referral fees are due within 30 days of customer invoicing and are reported by Partner via the platform's deal tracking system.
Partner acknowledges that all customer introductions facilitated through the SLA Marketplace are proprietary. Partner agrees not to engage, contract with, solicit, or service any customer first introduced through the platform outside of the SLA Marketplace for a period of twenty-four (24) months from the date of introduction. This includes initial deals, renewals, expansions, migrations, and any related cloud licensing services.
Partner shall not solicit direct contact information from customers during the anonymized bidding phase. Any attempt to include identifying information, direct contact details, or off-platform communication channels in bid proposals will result in immediate removal from the platform.
All pricing submitted through the platform must be genuine, competitive, and honored for a minimum of 30 days from submission. Bait-and-switch pricing is grounds for platform removal and forfeiture of any pipeline.
All ongoing licensing business with customers introduced through the SLA Marketplace must be reported and tracked through the platform during the 24-month exclusivity period.
In the event of circumvention (Section 2), Partner agrees that SLA shall be entitled to liquidated damages equal to three times (3x) the referral fee that would have been owed on the circumvented transaction(s).
Violation of Sections 2, 3, or 4 may result in immediate removal from the SLA Marketplace and forfeiture of all active pipeline and customer introductions.
